Why We Specialized in Technology Law

Back in 2010, most law firms treated technology companies like any other client. They'd use the same generic contracts, the same old-school approaches, and completely miss the nuances that make tech different. We saw an opportunity to do something better.

Our founders came from tech backgrounds – one was a software engineer, another had worked in-house at a major tech company. They understood that protecting software required different strategies than protecting physical inventions. They knew that tech contracts needed to account for rapid iteration, open-source dependencies, and cloud infrastructure.

So we made a bold decision: we'd only take tech clients. No personal injury, no real estate, no general corporate work. Just technology, intellectual property, and everything that comes with it. People thought we were crazy to narrow our focus so much. Turns out, specialization was exactly what the market needed.

Within two years, we became known as "the tech lawyers" in Toronto. Startups and established tech companies started seeking us out specifically because we spoke their language and understood their challenges. That early decision to specialize is still the foundation of everything we do today.

The AI Algorithm That Changed Everything

In 2013, a small AI startup came to us with what they called their "secret sauce" – a machine learning algorithm that could predict user behavior with unprecedented accuracy. They'd been turned down by three other law firms who said software algorithms weren't patentable.

We disagreed. We spent months working with their engineering team to understand exactly what made their algorithm novel. We documented the technical innovations, the specific improvements over existing methods, and the concrete applications that made it more than just abstract math.

The patent application was 87 pages long and included detailed technical diagrams that we created with their engineers. We anticipated every objection the patent office might raise and addressed them upfront. When the examiner came back with questions, we were ready with comprehensive responses.

The patent was approved in 2014. That startup used it to secure their Series A funding, then their Series B. They licensed the technology to major enterprise clients, generating millions in revenue. When they were acquired in 2019, that single patent was valued at over $50 million.

That case taught us something important: with the right legal strategy and deep technical understanding, you can protect software innovations that others say can't be protected. It became our template for hundreds of successful patent applications since.

Getting Ahead of the Privacy Revolution

In 2015, the EU was drafting what would become GDPR, and most companies weren't paying attention. We were. We saw that data privacy was about to become a massive issue for every tech company, and we wanted to be ready.

We hired Marcus Rodriguez, who had been working in EU privacy law, and built a dedicated privacy practice. We studied the draft GDPR regulations, attended international privacy conferences, and started helping clients prepare for what was coming.

So we approached Canada's leading startup accelerators with a proposal: let us provide legal workshops and office hours to your cohorts. We'd help founders understand legal basics and catch problems before they became disasters.

The accelerators loved it. We started running monthly workshops on topics like incorporation, founder agreements, IP protection, and fundraising. We offered office hours where founders could get quick answers to legal questions without the meter running.

Since 2018, we've worked with over 200 accelerator companies. We've helped them incorporate properly, draft founder agreements that prevent future disputes, protect their IP from day one, and prepare for investor due diligence. Many of them are now our ongoing clients as they've scaled.

This program has become one of our favorite things we do. There's something incredibly satisfying about helping founders avoid the legal pitfalls that sink so many startups. Prevention really is better than cure.

Navigating the Crypto Legal Frontier

By 2021, it was clear that blockchain and cryptocurrency weren't going away. But the legal landscape was a mess – unclear regulations, nervous regulators, and very few lawyers who actually understood the technology.

We dove in deep. We studied blockchain technology, took courses on cryptocurrency, and built relationships with regulators to understand their concerns. We started advising crypto exchanges, DeFi protocols, and blockchain startups on how to operate legally in this uncertain environment.

Our approach was pragmatic. We helped clients structure their tokens to avoid securities violations, draft smart contracts with proper legal terms, and implement compliance programs that satisfied regulators without killing innovation.
